By booking, paying a retainer, signing an agreement, or using our website, you (“Client, ” “you”) agree to these Terms of Service (“Public Offer, ” “Terms”).
1) Services
Sirius Proxima provides photography and related services, including (but not limited to) portraits, couples, families, lifestyle sessions, events, and content creation (“Services”).
Specific details—such as session duration, locations, number of edited images, delivery timeline, and whether RAW files are included—will be confirmed in a written agreement and/or invoice (“Agreement”). If there is any conflict between these Terms and the Agreement, the Agreement controls.
2) Booking, Payment, and Retainer
- A retainer (deposit) may be required to reserve a date/time.
- The retainer is non-refundable and is applied toward the total fee.
- The remaining balance (if any) is due as stated in the Agreement or invoice.
- Prices, packages, and availability may change at any time; your booking is confirmed only after we receive the retainer and/or written confirmation.
3) Rescheduling, Cancellations, No-Shows
Client Rescheduling
- One (1) complimentary reschedule is allowed if requested 48 hours or more before the scheduled start time, subject to availability.
- Reschedule requests made less than 48 hours before the session may result in the retainer being forfeited and a new booking being required.
Client Cancellation / No-Show
- If the Client cancels, the retainer remains non-refundable.
- If the Client does not show up or arrives too late to complete the session, the session may be treated as a no-show, and all paid amounts remain non-refundable.
Our Cancellation
If Sirius Proxima cancels for any reason within our control, we will offer either:
(a) a free reschedule, or (b) a full refund of amounts paid.
4) Weather Policy (Outdoor Sessions)
For severe weather conditions (e.g., heavy rain, storm, unsafe wind), Sirius Proxima will offer a free reschedule or an indoor/covered location alternative.
Cloudy weather, light precipitation, or typical winter conditions are not automatically grounds for free cancellation; the Client may choose to proceed or reschedule under the standard rescheduling rules.
5) Late Arrivals
- The session start time will not be extended due to Client lateness.
- Time may be reduced accordingly.
- If the Client is more than 30 minutes late, Sirius Proxima may treat the session as a no-show.
6) Deliverables, Editing, and Artistic Style
- Editing style is artistic and consistent with our portfolio.
- The number of edited images, delivery method (gallery/download), and delivery timeline are set in the Agreement.
- We do not guarantee specific poses, expressions, lighting conditions, backgrounds, or exact replication of any reference image.
7) RAW Files
RAW files are not included by default unless explicitly stated in the Agreement.
8) Client Responsibilities
Client agrees to:
- Arrive on time, cooperate, and communicate preferences clearly.
- Secure access/permissions for chosen locations when required (buildings, rooftops, venues, museums, parks, etc.).
- Follow venue rules, security instructions, and applicable laws.
- Ensure minors are supervised at all times; a parent/legal guardian must be present for sessions involving minors.
9) Location Fees, Permits, and Third-Party Restrictions
Some locations require permits, entry fees, or photography restrictions. Unless the Agreement states otherwise:
- Client is responsible for permits, location fees, tickets, and access costs.
- If a venue/security restricts photography, Sirius Proxima is not liable for lost coverage; we will make reasonable efforts to adapt.
10) Copyright and License
All images and content created by Sirius Proxima are protected by copyright.
- Sirius Proxima retains full copyright.
- Client receives a non-exclusive, non-transferable license for personal use and sharing.
- Client may not sell images, alter them for commercial purposes, or submit them to contests/publications for commercial gain without written permission.
Commercial use (business branding, ads, products, corporate campaigns, paid promotions) must be agreed in writing and may require a commercial license.
11) Model Release and Portfolio Use (Default: Yes, Opt-Out Available)
The Client grants Sirius Proxima the irrevocable right to use photographs and/or video from the session for portfolio, website, social media, advertising, publication, and promotional purposes.
If the Client prefers the images not be used publicly, the Client must opt out in writing before the session. Upon written opt-out, Sirius Proxima will not publish identifiable images of the Client for marketing purposes.
If minors are photographed, the Client confirms they are the parent/legal guardian and authorize the above on the minor’s behalf.
12) No Refunds After Services Are Delivered
Once a session has been completed, no refunds will be issued. If the Client has concerns, Sirius Proxima may (at our discretion) offer reasonable adjustments (e.g., minor color tweaks) consistent with our style.
13) Limitation of Liability
To the maximum extent permitted by law:
- Sirius Proxima is not liable for indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claim is limited to the amount the Client paid for the specific Services giving rise to the claim.
- We are not responsible for missed shots due to circumstances beyond our control (weather, venue rules, delays, crowding, equipment malfunction despite reasonable care, or interruptions by third parties).
14) Force Majeure
Sirius Proxima is not liable for delays or inability to perform due to events beyond reasonable control (e.g., severe weather, emergencies, government restrictions, transportation shutdowns, illness/injury, acts of God). In such cases, we will work with the Client to reschedule or provide a fair solution.
15) Disputes and Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute shall be brought in the state or federal courts located in New York County (Manhattan), New York, unless otherwise required by law.
16) Changes to These Terms
We may update these Terms from time to time. The version in effect at the time of booking applies to that booking.
